2. Agreement to these terms

By using our website, booking a call, signing a proposal, or purchasing services from us, you agree to these Terms and Conditions.

3. Who we work with

Our services are intended for business customers (independent garages, workshops, auto repair businesses).

You confirm you have the authority to enter into this agreement on behalf of the business.

4. Scope of services

We provide operations support and implementation services which may include (depending on the package agreed):

  • Admin and customer communication workflow improvements

  • Appointment booking and customer follow up processes

  • CRM setup and customer record management

  • Automation between tools (for example booking, reminders, review requests, reporting)

  • Integration support with third party systems (garage management, invoicing, payment, telephony, messaging)

The exact scope, deliverables, timelines, and fees will be defined in a proposal, statement of work, or invoice.

We do not provide legal, tax, accounting, or financial advice. If you need that, you should consult a qualified professional.

6. Client responsibilities

To deliver the service, you agree to:

  • Provide accurate business information and timely feedback

  • Provide access to relevant systems (as needed) such as email, website, booking tools, phone systems, or garage software

  • Ensure you have the rights to use any customer data you provide to us

  • Use the system in compliance with GDPR and applicable laws

Delays caused by missing access, approvals, or information may extend timelines.

7. Third party software and services

Your solution may use third party tools (for example CRM, booking, messaging, call handling, automation platforms).

  • Third party subscriptions are usually billed directly to you unless otherwise agreed

  • We are not responsible for outages, pricing changes, policy changes, or limitations of third party providers

  • Integrations can be affected by third party API changes or restrictions

8. Fees, billing, and payment

Fees will be outlined in the proposal or invoice and may include one-time setup fees, monthly service or support fees, and additional work where agreed.

The setup fee is payable in advance and must be received before any work or system setup begins.

Monthly service fees are billed in advance and are payable within 7 days of the invoice date, unless otherwise agreed in writing.

Any additional work requested outside the agreed scope will be quoted separately and must be approved before commencement.

If payment is not received by the due date, Garage Fusion Systems reserves the right to pause services until the account is brought up to date.

9. VAT and taxes

All fees are exclusive of VAT unless stated otherwise.

Where Garage Fusion Systems is required to charge VAT, VAT will be added to invoices at the applicable rate in accordance with Irish tax law.

Where VAT is not charged, this will be clearly stated on the invoice.

The client is responsible for their own tax compliance and for determining how VAT applies to their business.

10. Results and performance

We aim to improve operational efficiency and reduce admin load, but results vary by business and depend on factors such as staffing, workflow, customer demand, and client participation.

We do not guarantee specific revenue, profit, or performance outcomes unless explicitly agreed in writing.

11. Change requests

If you request work outside the agreed scope, we may:

  • Quote an additional fee, or

  • Offer it as a separate project, or

  • Add it to the monthly service (if agreed)

12. Refunds and guarantees

Garage Fusion Systems provides an implementation-based guarantee.

If Garage Fusion Systems does not deliver the agreed implementation as outlined in the proposal, including the setup of the agreed systems and workflows, the client may be eligible for a refund of the implementation fees paid for that implementation, subject to the following conditions:

  • The client has provided required access, information, and approvals within a reasonable timeframe
  • The client has followed the agreed onboarding and implementation steps
  • The failure was not caused by delays, limitations, or outages of third-party providers, existing systems, or tools used by the client

This guarantee applies to implementation only and does not guarantee specific business outcomes, time savings, revenue levels, or operational performance.

Monthly service fees are non-refundable once the service period has commenced.

Non-Refundable Costs

Third-party fees, usage-based costs, phone minutes, messaging fees, and paid software subscriptions are non-refundable once incurred.

13. Confidentiality

Both parties agree to keep confidential information private, including business processes, pricing, customer lists, and any documents shared during the engagement, unless required by law.

14. Data protection and GDPR

Where we process personal data on your behalf (for example customer contact details for reminders), we will:

  • Use it only to deliver the services

  • Take reasonable security measures

  • Follow your instructions where required

You remain responsible as the business owner for ensuring you have a lawful basis to collect and use customer data.
Your use of our services is also governed by our Privacy Policy.

15. Intellectual property

We retain ownership of our templates, workflows, documentation, and internal methods.
Once you pay, you may use the delivered setup and materials internally in your business.
You may not resell, copy, or distribute our materials outside your business without written permission.

16. Term, cancellation, and suspension

This agreement begins on the start date outlined in the proposal or invoice and continues on a monthly rolling basis unless terminated in accordance with this section.

The client may cancel the monthly service by providing at least 14 days’ written notice prior to the next billing date. Cancellation will take effect at the end of the current billing period.

Monthly fees are non-refundable once a billing period has commenced.

Garage Fusion Systems may suspend or pause services where invoices remain unpaid after the due date, or where continued delivery is not reasonably possible due to missing access, incomplete information, or repeated non-cooperation by the client.

Suspension of services does not remove the client’s obligation to pay any outstanding fees.

17. Limitation of liability

To the maximum extent permitted by Irish law, Garage Fusion Systems shall not be liable for any indirect, incidental, special, or consequential losses, including but not limited to loss of profit, loss of business, loss of revenue, or loss of goodwill.

Garage Fusion Systems’ total liability in connection with any claim arising from or related to the services provided shall be limited to the total fees paid by the client to Garage Fusion Systems in the three months preceding the event giving rise to the claim, in respect of the service to which the claim relates.

Nothing in these terms excludes or limits liability where such liability cannot be excluded or limited under Irish law

18. Website use

You agree not to:

  • Use our website unlawfully

  • Attempt to access restricted areas without permission

  • Upload malicious code or abuse forms

19. Complaints

If you have a complaint, contact us at info@garagefusionsystems.com and we will try to resolve it within a reasonable time.

20. Governing law

These Terms are governed by the laws of Ireland, and the Irish courts have jurisdiction over any disputes.
